 This contract is made out by XXXX, represented by XXXXrepresented by XXXX as per the following terms and conditions mutually confirmed as a part of 2X3MW HFO POWER PLANT PROJECT FOR KODIDU/NEW SEMBEHUN CITY.

 A. Scope of Work:     

Supply and commissioning of 3 Nos. 800 KVA DG Sets for LUNGI AIRPORT project, the details see annex 1: Price list

 B. Commissioning:

XXXX should provide guidance for the installation and commissioning. XXXX will provide XXXX personnel with free boarding, lodging & transportation.      

 C. Terms of Payment:

  50% of total price by T/T before delivery, 50% is include in 2X3MW HFO POWER PLANT PROJECT FOR KODIDU/NEW SEMBEHUN CITY (Contract No: ZG10080321).

 D. Warranty:

All the delivered goods / equipment shall be covered by 12 months or 1000 hours warranty (whichever is earlier) with effect from the date of delivery of the last consignment to Freetown Port.

 E. Customs Duty (If applicable) :

Equipment / material that are required to be imported for the contract.

1. The materials shall be imported via Freetown Port Only.
2. The following documents are required to clear the consignment.

(i)             Copy of Exporter’s invoice for CIF Freetown Air Port / Sea Port Price

(ii)            Copy of Bill of lading or Airway bill

(iii)           Copy of packing list

(iv)          Copy of order

(v)           Certificate of Origin

F. Shipping Marks & Packaging

XXXX shall be responsible for providing proper sea-worthy packing for the goods. The shipping marks shall be advised later.  

 G. Force Majeure:

The Seller shall not be held responsibility for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers should advise the Buyers immediately of the occurrence mentioned above and within fourteen (14) days by email or fax. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods, in case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.

 K. Arbitration:

All disputes in connection with execution of this Contract shall be settled through friendly negotiations. In case no settlement can be reached after the occurrence of the dispute or difference, any dispute, controversy or claim arising out of or the breach, termination or invalidity of the Contract shall be settled by arbitration in accordance with the UNCITRAL Arbitration Rules as at present in force, and the arbitration shall be taken place in Singapore. The governing law is laws of Singapore except its procedural law and conflict law.
