MEMORANDUM OF UNDERSTANDING
THIS MEMORUNDUM OF UNDERSTANDING MADE ON THE 18th DAY OF OCTOBER 2011;
BETWEEN
Chinese EPC and investment xxxx., LTD
(hereinafter referred to as "Party A") which expression shall where the contexts so admits include its legal representatives and successors; and
Xxxx TRADING COMPANY., LTD
(hereinafter referred to as "Party B") which expression shall where the contexts so admits include its legal representatives and successors; (Hereinafter the parties hereto collectively referred to as the "Parties" and respectively as the "Party".)
NOW THIS MEMORANDUM OF UNDERSTANDING SETS FORTH THE FOLLOWING;
THE FOLLOWING ARE THE REPERESENTATIVES OF THEIR RESPECTIVE PARTIES;

WHEREAS:
Party A and the Party B agreed that both parties will work together to set up 50%:50% joint venture to achieve the goal of investing and constructing the following gas engine generator power projects (herein after called “Projects�?.
The board of joint venture including five boarding directors, for the first year, three members from Party A, the next year, three members from Party B, the turn will continue until the termination of the joint venture.
The Projects lists are:
25 MW gas engine power plant for xxxxx
If definition, names and address of Projects changed, Party B should timely/ formally inform Party A.
And WHEARES:
Party A will be EXCLUSIVE EPC contractor and Turn key for above project, the EPC budget price is $xxx 00,000, among which 50% will be invested by Party A, balance will be invested by Party B.
PARTY A shall:
a) Invest 50% for joint venture and project
b) Prepare detailed technical and commercial proposals for the Projects, including equipment list.
c) Reply to questions and suggestions related to the Projects.
d) Furnish Party B with information and documents concerning the project, which may reasonably be required by the Government of Xxx from time to time, for the success of the joint venture and the project;
e) Apply with XXX-Hyundai18H35/40GV or other gas engine generator for the Projects;
f) Acting as Projects financing facilitator to help get financing from China; providing needed help and information on Chinese bank financing for the Projects.
g) Should provide maintenance and spare parts as well as operation for the project after its take over under additional contracts.
PARTY B shall:
a) Invest 50% for joint venture and project
b) Provide the land for this project for free.
c) Responsible for register of joint venture in Xxx.
d) Prepare the relevant documents and information of the Project, discuss and explain the details of the documents with the Party A. The aforesaid documents includes but not limited as follows:
² Scope of work for Party A in detail;
² Technical requirements with all major technical parameters;
² Feasibility report and environment impact assessment report (if needed);
² Power Purchase agreement;
² All other needed documents from Party B for contracts and investment.
e) Procure the information regarding local law for labour, custom duties, taxes, other levies, road conditions from main port to the Project site.
f) Secure all approvals documents issued by the Government of Xxx government necessary for the Projects.
g) Provide all other assistances where necessary to Party A.
h) Shall not disclose any information or data to the public provided by either party, unless agreed by both parties prior in written form during and after the period of validity of the MOU.
i) Exclusively work with Party A on the Projects
j) Should pay all cost by himself before effect of the EPC contract ;
Work schedule:
1. The EPC contract will be sign between Party A and Party B within 1 month after signing the MOU.
1.1 Party B should supply technical document within 7 days after signing the MOU so that Party A can offer technical and commercial proposal, these document include geo survey report, gas analysis report, gas pressure report, red line of the scope of supply.
1.2 Party A prepare the EPC contract and technical specification within 7days after receiving above document, and negotiate the details with each other by email.
1.3 Party A will arrange members go to Xxx to confirm technical and commercial proposal and sign EPC contract if necessary.
2. Party B should register the Joint venture in Xxx before 20th November 2011;Party A should provide all documents which are necessary in this process, the details work include but not limited:
2.1 Procure the permit documents from Xxx government;
2.2 Finish the joint venture agreement after negotiating with each other;
2.3 Set up Joint venture;
3. Joint venture should be transferred with the EPC contract, PPA, land, fuel and other resource needed for the project under approval of the Xxx government within 1 month after joint venture set up.
4. Party B financing 50% investment for the project in Xxx as soon as possible and pay to Part A, the detailed plan of financing still need negotiate with each other.
